Tiraka Youth Empowerment Initiative Terms and Conditions
Important notice. These terms and conditions (these "Terms") govern and apply specifically to applications for Tiraka-funded share subscriptions in the Dangote Petroleum Refinery and Petrochemicals FZE public offer (the "IPO") under the Tiraka Youth Empowerment Initiative (the "Initiative"), operated and funded by Tiraka Youth Empowerment Initiative ("Tiraka"). The Initiative's screening and selection process is separate from the official subscription, verification and allotment process for the Dangote Petroleum Refinery and Petrochemicals FZE public offer (the "IPO"). Applying or being selected does not constitute an IPO subscription or guarantee an allotment of shares. Tiraka funds each selected applicant's IPO share subscription, and no applicant is required to pay any fee to apply or to receive that benefit.
1. About the Initiative
The Initiative is a youth-focused programme that promotes financial inclusion by supporting eligible Nigerian youths ("Applicants" and, once selected, "Beneficiaries") to participate in the capital market. It will support up to 10,000 Beneficiaries, subject to applicable Programme Rules, available funding and these Terms.
2. Relationship with the IPO and authorised channels
Tiraka is not the IPO issuer, issuing house, receiving agent, stockbroker, registrar or the Central Securities Clearing System ("CSCS"), and is not authorised to receive IPO subscriptions or investor funds. Tiraka funds Beneficiaries' subscriptions under Clause 6 only through an authorised capital market operator (the "Authorised Market Operator").
3. Eligibility
Unless the Programme Rules state otherwise, an Applicant must:
- be a Nigerian citizen aged between 18 and 35 at the time of application;
- be a university student, a National Youth Service Corps ("NYSC") member or another Nigerian youth within the Programme Rules' eligibility criteria;
- provide complete, accurate and verifiable information and satisfy any identity verification and other lawful requirements; and
- accept these Terms.
Eligibility does not guarantee selection. Applications from persons under 18 will not be accepted.
4. Application and verification
- Applications must be submitted only through the official application channel and contact details published by Tiraka (the "Official Channels").
- Applicants must provide the information and documents reasonably required to assess eligibility. Only one application per person is permitted unless the Programme Rules provide otherwise.
- Tiraka may verify information through lawful and proportionate checks and may request clarification or supporting documents.
- Incomplete, duplicate, fraudulent, misleading or unverifiable applications may be rejected or disqualified.
Tiraka will collect identity documents, bank details or other sensitive information only where necessary for a stated purpose and with suitable safeguards. Tiraka will never ask for bank login details, card details, passwords, PINs or OTPs.
5. Screening and selection
Applications will be screened against the approved eligibility requirements and selection criteria. Eligible Applicants will be selected on a first-come, first-served basis, provided they meet the eligibility requirements outlined in Clause 3, which will be published before applications open.
Tiraka may reject applications that do not meet the criteria or cannot be verified, and will take reasonable steps to administer screening consistently and prevent fraud or manipulation. Successful Applicants will be notified through the contact details in their application. Selection does not guarantee that a Beneficiary will receive shares.
6. Programme benefit and share allocation
Tiraka will fund the subscription for 10 units of shares in the IPO for each Beneficiary, for up to 10,000 Beneficiaries, at no cost to the Beneficiary. Tiraka will pay through the Authorised Market Operator, which will submit the subscription in the Beneficiary's own name.
Any subscription, allotment or transfer is subject to the approved IPO prospectus, applicable law, the rules of the Authorised Market Operator and relevant securities infrastructure, completion of verification, and the actual allotment and settlement process. Tiraka cannot guarantee allotment by the issuer or any receiving agent, and no Beneficiary is a shareholder until shares are validly allotted or transferred and credited through the applicable securities process.
Beneficiaries may be required to complete identity verification, know-your-customer ("KYC") checks and any applicable securities account-opening procedures before shares can be credited to them.
Each notice of award (the "Award Notice") will inform successful Applicants of the process and any additional requirements necessary to receive their allocation. Tiraka will communicate any changes to the allocation process through the Official Channels.
7. Costs and financial obligations
Applying for and receiving the Tiraka-funded subscription are free of charge. The costs of later selling or transferring the shares, and any personal tax, are the Beneficiary's responsibility. Any other charge will be disclosed in the Award Notice before it is incurred. Applicants must not pay any person or personal account to improve their chances of selection or allotment.
8. Investment risks
- Shares are investments. Their value may rise or fall, and there is no guarantee of profit, capital appreciation or dividends.
- Any dividend depends on the issuer's performance, applicable law and corporate decisions.
- Applicants should read the approved IPO prospectus and official risk disclosures and may wish to obtain independent financial advice.
- Selection is not investment advice and does not remove the risks of owning shares.
9. Personal information and privacy
The data controller for the Initiative is Tiraka and the Authorised Market Operator. These Terms constitute Tiraka's privacy notice, while the Authorised Market Operator has its Privacy Policy on its website.
Tiraka and the Authorised Market Operator may process identity and contact details, age confirmation, education or NYSC status, application responses, verification records and communications, limited to what is necessary. Personal information may be processed, where lawful, to:
- assess applications, confirm eligibility and communicate with Applicants;
- prevent and investigate fraud or misuse of the Initiative;
- facilitate awards, identity checks and securities account processes through authorised service providers; and
- meet legal, regulatory, record-keeping and dispute-resolution obligations.
These Terms summarise how we collect and use Applicants' personal data in connection with their applications. We process that data in accordance with the Nigeria Data Protection Act, 2023 (the "NDPA") and other applicable law.
Where necessary, information may be shared with the Authorised Market Operator, registrar, CSCS, identity-verification and technology providers and professional advisers, subject to applicable law and safeguards. Failure to provide strictly necessary information may mean an application cannot be processed. Tiraka will not use Applicant information for unrelated marketing without a separate choice.
10. Security and fraud prevention
- Use only the Official Channels.
- Never share passwords, PINs or OTPs, or transfer money to a personal account or unauthorised third party, in connection with the Initiative.
- Report impersonation, fraudulent requests or suspicious links to Tiraka through the Official Channels.
- Tiraka may suspend an application while investigating credible indications of fraud, subject to applicable law and fair administration.
11. Disqualification
Tiraka may reject or disqualify an Applicant who submits false or misleading information, makes prohibited duplicate applications, manipulates screening, fails required verification, impersonates another person or engages in unlawful conduct connected with the Initiative. Where reasonably practicable, the Applicant will be notified and told of any available review process. This clause does not exclude rights available under applicable law.
12. Changes, suspension or cancellation
Tiraka may amend, suspend or discontinue the Initiative where reasonably necessary, including to comply with law or a regulatory direction, or because of an IPO timetable change, security concerns or events beyond its reasonable control. Material changes will be communicated through the Official Channels. Rights already accrued to a confirmed Beneficiary will not be removed retrospectively, except where required by law or a binding regulatory requirement.
13. Responsibility and limitations
Applicants are responsible for the accuracy of their information and for protecting their account credentials. Tiraka is not responsible for investment performance, market movements or an Applicant's independent decisions. Nothing in these Terms excludes liability that cannot lawfully be excluded or excuses Tiraka from its own obligations under applicable law or these Terms.
14. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. The Initiative will be conducted in compliance with applicable Nigerian laws, including those on securities offerings, investor protection and data privacy. Nothing in these Terms guarantees IPO allotment, investment returns or preferential treatment outside the approved programme arrangements.
15. Acceptance
By applying, the Applicant confirms that they have read these Terms, understand that selection does not guarantee IPO allotment. Any consent required for a separate processing activity will be obtained and is not inferred from acceptance of these Terms.
16. Complaints and enquiries
Questions or complaints may be sent to operations@tiraka.org. Applicants should include enough detail to identify their application but must not send passwords, PINs or OTPs.
